Terms of Service

Villgeo exists to help real neighbors connect. These Terms establish the rules that govern access to the Services and help protect users, communities, and Villgeo.

These Terms of Service ("Terms") are a binding agreement between you and Villgeo, LLC ("Villgeo," "we," "us," or "our") governing your access to and use of the Villgeo mobile application, website, web-based tools, and related services (collectively, the "Services").

By creating an account, selecting an acceptance control, accessing the Services, or submitting content, you agree to these Terms and the Privacy Policy available at https://villgeo.com/privacy. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement to use the Services. By using Villgeo, you represent that you satisfy these requirements and are not prohibited from using the Services under applicable law.

Villgeo may require age confirmation, service-area verification, or other reasonable eligibility checks. Providing false eligibility information is a violation of these Terms.

Accounts and Account Security

• Provide accurate and current account information
• Maintain the confidentiality of your credentials and multifactor-authentication methods
• Do not share, sell, transfer, or rent your account
• Notify Villgeo promptly if you suspect unauthorized access
• Accept responsibility for activity conducted through your account unless caused by Villgeo's own failure to use reasonable security measures.

Villgeo may refuse usernames, require a username change, or reclaim a username that impersonates another person, violates rights, creates confusion, or interferes with operation of the Services.

Local Communities, Geofencing, and Location

Villgeo may limit account creation, content visibility, or feature access to approved geographic service areas. You authorize Villgeo to process location information as described in the Privacy Policy when you enable location-based features.

Do not spoof location, falsify residency or service-area eligibility, or attempt to enter a restricted community through technical manipulation. Villgeo may use device, network, account, and location signals to enforce geographic boundaries and prevent abuse.

Do not post a private residence, school location, workplace, shelter, protected facility, or other sensitive location unless you have authority and understand that the selected audience may see it.

User Content and Ownership

"User Content" includes posts, comments, messages, photographs, videos, listings, events, group information, business information, files, reports, and other material submitted through the Services.

You retain ownership of your User Content. You grant Villgeo a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, distribute within the Services, moderate, and technically adapt User Content solely as reasonably necessary to operate, secure, improve, and provide the Services.

This license does not permit Villgeo to sell your User Content as advertising inventory or use it in off-platform advertising without your permission. The license ends when the content is deleted, except for limited copies in backups, content lawfully retained for safety or legal reasons, and deidentified material that can no longer reasonably be linked to you.

You represent that you own or have the rights needed to submit User Content and that its submission and use under these Terms will not violate law, privacy, publicity, intellectual-property, contractual, or other rights.

Community Conduct and Prohibited Activity

You may not use Villgeo to create, upload, solicit, promote, arrange, or distribute content or conduct involving:

• Illegal activity, instructions intended to facilitate criminal conduct, or evasion of lawful restrictions
• Child sexual abuse material, sexual exploitation, grooming, non-consensual sexual content, or sexual content involving minors
• Pornographic or explicitly sexual content, sexual solicitation, or prostitution-related services
• Credible threats, incitement of violence, stalking, harassment, bullying, intimidation, or targeted abuse
• Hateful conduct or attacks based on protected characteristics
• Terrorist, violent-extremist, or organized-criminal recruitment, praise, financing, or operational support
• Doxxing or publication of another person's private address, contact information, financial information, government identifiers, medical information, access credentials, or other sensitive personal information without lawful authority
• Fraud, impersonation, scams, deceptive listings, pyramid schemes, spam, fake engagement, or coordinated manipulation
• Malware, credential theft, unauthorized access, denial-of-service activity, security bypasses, or interference with the Services
• Transactions involving controlled substances, unlawful drugs, prescription medication, stolen goods, counterfeit goods, human trafficking, firearms, ammunition, explosives, or other prohibited or regulated items. This restriction concerns transactions and facilitation, not lawful discussion of legal topics
• Animal cruelty, trafficking in protected wildlife, or unlawful environmental contraband
• Content that infringes copyright, trademark, privacy, publicity, or other rights
• False emergency reports, fabricated public-safety alerts, or conduct that could foreseeably cause panic or physical harm
• Any attempt to evade moderation, reporting, blocking, rate limits, account restrictions, or enforcement actions.

Villgeo may publish separate Community Guidelines or prohibited-items rules. Those rules are incorporated into these Terms when made available. If a separate policy conflicts with these Terms, the more specific rule controls for the relevant feature.

Marketplace, Services, Businesses, Events, and User Transactions

Villgeo may allow users and businesses to advertise goods, services, events, volunteer opportunities, skills, or other local activities. Unless Villgeo expressly states otherwise, Villgeo is not the buyer, seller, employer, contractor, broker, insurer, landlord, payment processor, or agent in a transaction between users.

Users are solely responsible for evaluating another person, confirming qualifications, licenses, permits, insurance, pricing, product condition, legality, safety, taxes, and transaction terms. Villgeo does not guarantee identity, background, quality, legality, availability, performance, or payment.

Meet safely, protect personal information, use appropriate payment methods, and report suspicious behavior. Villgeo may restrict categories, remove listings, or suspend transaction features to protect users or comply with law and app-store requirements.

Messages and Communications

Messages and communications must comply with these Terms. Do not use messaging for spam, harassment, sexual solicitation, prohibited transactions, credential theft, or evasion of moderation.

Villgeo may process and, in limited circumstances, review communications as described in the Privacy Policy. Do not treat Villgeo messages as legally privileged, guaranteed confidential, or suitable for emergencies.

Rewards, Reputation, and Community Points

Villgeo may offer points, badges, contribution records, reputation indicators, or similar features (collectively, "Rewards"). Unless Villgeo expressly states otherwise in separate written terms:

• Rewards have no cash value and are not money, stored value, property, wages, securities, or a bank balance
• Rewards cannot be sold, transferred, inherited, redeemed for cash, or moved between accounts
• Villgeo may adjust, reverse, suspend, expire, or discontinue Rewards to correct errors, prevent fraud, enforce rules, or change the program
• Deleting an account forfeits its Reward balance and does not create a right to restore or transfer that balance to a future account
• Deidentified ledger records may remain after deletion as described in the Privacy Policy.

If Villgeo later introduces redeemable or paid rewards, separate terms will apply before those features become available.

Moderation, Reporting, Blocking, and Appeals

Villgeo may use automated tools, service providers, and human reviewers to screen, rank, restrict, remove, preserve, or investigate content and accounts. Moderation may occur before or after publication and may consider content, metadata, behavior, user reports, account history, and safety context.

Villgeo may remove content, reduce distribution, apply warnings, restrict features, suspend accounts, preserve evidence, or refer conduct to authorities when reasonably necessary. Villgeo is not obligated to publish any User Content or to provide advance notice before urgent safety action.

Users must have access to in-app reporting and blocking features where provided. Misusing reports, coordinating false reports, or retaliating against reporters is prohibited. You may appeal eligible moderation decisions through the in-app process or by contacting [email protected]. An appeal does not guarantee reversal.

Emergency and Safety Disclaimer

Villgeo is not an emergency service, public-safety dispatch system, weather authority, law-enforcement agency, or substitute for 911. Community alerts and safety posts may be user-generated, delayed, incomplete, or wrong.

For an emergency or immediate threat, call 911 or the appropriate local authority. Do not rely on Villgeo as your only source of emergency, evacuation, medical, weather, crime, or public-safety information.

Villgeo Intellectual Property

The Services, software, design, branding, logos, trademarks, documentation, and non-user content are owned by Villgeo or its licensors and are protected by law. Subject to these Terms, Villgeo grants you a limited, personal, revocable, nonexclusive, nontransferable right to use the Services for their intended purpose.

You may not copy, sell, sublicense, reverse engineer, scrape, create derivative services from, or exploit Villgeo software or non-user content except as allowed by law or written permission. You may not use Villgeo branding in a way that suggests endorsement or affiliation without permission.

If you provide feedback or suggestions, you grant Villgeo permission to use them without restriction or compensation, but Villgeo is not required to do so.

Copyright and Intellectual-Property Complaints

Villgeo respects intellectual-property rights. A rights holder may send a notice identifying the protected work, the allegedly infringing material and its location, contact information, a good-faith statement, an accuracy statement under penalty of perjury, and a physical or electronic signature.

Villgeo may remove material and terminate repeat infringers where appropriate. Villgeo may request additional information before acting on a notice.

Third-Party Services and Links

The Services may include links, maps, payment tools, business pages, or integrations operated by third parties. Villgeo does not control and is not responsible for their content, availability, terms, privacy, security, products, or conduct. Your use of a third-party service is governed by that provider's terms.

Beta, Preview, and Testing Features

Villgeo may provide alpha, beta, preview, test, or experimental features. They may be incomplete, unavailable, inaccurate, changed without notice, or subject to data loss. Use them at your own risk and do not rely on them for critical records, emergencies, or irreversible decisions.

Feedback and diagnostic information about test features may be collected as described in the Privacy Policy. Villgeo may discontinue or reset test environments at any time.

Suspension, Termination, and Account Deletion

You may stop using Villgeo at any time and may request account deletion through the in-app path or at https://villgeo.com/account-deletion.

Villgeo may warn, restrict, suspend, or terminate access when we reasonably believe you violated these Terms, created risk or legal exposure, endangered users, evaded enforcement, or interfered with the Services. Urgent action may occur without advance notice.

Upon termination, your right to use the Services ends. Sections that by their nature should survive will survive, including ownership, retained licenses, Rewards, disclaimers, limitation of liability, indemnification, governing law, and miscellaneous terms.

Deletion and retention are handled under the Privacy Policy. Account deletion does not erase information independently copied by others outside Villgeo and may not eliminate limited records lawfully retained for security, fraud prevention, disputes, or legal compliance.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLGEO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

VILLGEO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SAFE, OR FREE FROM HARMFUL COMPONENTS; THAT USER CONTENT OR COMMUNITY ALERTS ARE ACCURATE; OR THAT A USER, BUSINESS, LISTING, EVENT, PRODUCT, SERVICE, OR TRANSACTION IS TRUSTWORTHY, LAWFUL, INSURED, LICENSED, OR SUITABLE.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLGEO AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY; PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM USER CONDUCT; OR DAMAGES ARISING FROM RELIANCE ON USER CONTENT, COMMUNITY ALERTS, EVENTS, LISTINGS, SERVICES, OR TRANSACTIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLGEO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO VILLGEO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) 100 U.S. DOLLARS.

These limits do not apply to liability that cannot lawfully be limited, and they apply only to the extent permitted by applicable law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Villgeo and its members, managers, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from your User Content, your transactions or interactions with other users, your violation of these Terms, your violation of law, or your infringement of another person's rights.

Villgeo may control the defense of a covered claim, and you agree to reasonably cooperate. This obligation does not require you to indemnify Villgeo for Villgeo's own unlawful conduct where prohibited by law.

Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise. Any dispute not resolved informally must be brought in a state or federal court with jurisdiction in Tarrant County, Texas, and each party consents to that venue and jurisdiction.

Before filing a claim, the parties should attempt in good faith to resolve the dispute by sending written notice describing the issue and requested resolution to [email protected]. This informal process does not extend any legally applicable filing deadline unless the parties agree in writing.

Changes to the Services or These Terms

Villgeo may modify, suspend, or discontinue features. We may update these Terms to reflect changes in the Services, law, safety requirements, or business operations. We will update the "Last Updated" date and provide additional notice of material changes when required.

Continued use after updated Terms take effect constitutes acceptance, except where law requires a separate affirmative agreement. If you do not agree to an update, stop using the Services and delete your account.

Electronic Communications

You consent to receive agreements, notices, disclosures, account messages, and other communications electronically, including through the Services, email, or device notifications. You may manage optional notifications through settings, but essential security, legal, and account communications may still be sent.

Miscellaneous

These Terms, the Privacy Policy, and any feature-specific rules form the complete agreement between you and Villgeo regarding the Services. If a provision is unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions remain effective.

Villgeo's failure to enforce a provision is not a waiver. You may not assign these Terms without Villgeo's written consent. Villgeo may assign them as part of a merger, financing, reorganization, or sale of assets. Section headings are for convenience only.
